TORONTO, ONTARIO – TheNewswire - October 23, 202 6 - AEON STRATEGIES LTD. (formerly Cloud3 Ventures Inc.) (CSE: AEON) (OTCQB:CLDVF)(FSE:WQ40) (the “ Company ” or “ Aeon ”) announces that it expects to be unable to file its audited annual financial statements for the year ended June 30, 2026, the related management's discussion and analysis and the related CEO and CFO certifications (collectively, the “ Annual Filings ”) by the October 28, 2026 filing deadline under Part 4 of National Instrument 51-102 – Continuous Disclosure Obligations and National Instrument 52-109 – Certification of Disclosure in Issuers' Annual and Interim Filings . The delay is due to (i) the limited availability of the Company's auditor, Davidson & Company LLP (the “ Auditor ”); and (ii) the additional time required to complete audit procedures relating to the Company's crypto-related investments, which are more complex than in prior years. The Auditor remains engaged, and the Company is working with the Auditor to complete the audit. The Company has applied to the Ontario Securities Commission, as principal regulator, for a management cease trade order (the “ MCTO ”) under National Policy 12-203 – Management Cease Trade Orders (“ NP 12-203 ”) . If granted, the MCTO will prohibit the Company's Chief Executive Officer and Chief Financial Officer from trading in the Company's securities until the Annual Filings are filed and the MCTO is revoked. The MCTO generally will not affect the ability of other shareholders to trade in the Company's listed subordinate voting shares.
